Job Description:
Beacon Trust Company of Salem, NH has the need for Vice President, Legal
Services to serve as international advisor and project coordinator for
Beacon Trust Company, a Nevada licensed private trust company, focusing on
legal, regulatory, corporate structure; investment, and global business
development issues across FMR LLC (d/b/a Fidelity Investments), FIL
Limited, Investor Entities managed by Northern Neck Investors and Star
Horizon Management and other entities. Will interact closely with FMR
Legal, FMR Tax, FIL Legal and FIL Tax, and Legal advisors to the Investor
Entities and may consult on projects of interest to FMR LLC and FIL
Limited. Range of projects include: coordinating use of Fidelity brand by
respective business units – FIL/FMR/Pyramis; assisting with issues arising
relating to international growth outside of the US of FMR Co/Pyramis;
establishment, administration and corporate governance issues relating to a
Nevada licensed private trust company; establishment and management of
foreign custodian relationships; establishment and management of foreign
corporate structures; management of US equity holdings in foreign entities,
including analysis of controlled foreign corporation regulations; risk and
shareholder aggregation across countries/regulators; financial and
shareholding consolidation and reporting; understanding of underlying
investment portfolio businesses; management, facilitation and oversight of
a diverse set of projects; convening global risk assessment on aggregation
of family interests; responding to international regulatory enquiries
received by Crosby office; participating in the creation and review of
comprehensive reporting of cash-flow demands/forecasts; and framing issues
for further enactment. Requirements: Juris Doctor (or foreign education
equivalent) and 4 years in job offered or 4 years of executive-level
experience managing corporate legal matters within a multinational
investment management organization. Also requires demonstrated expertise:
managing risk and shareholder aggregation across jurisdictions, including
controlled foreign corporation rules and managing international regulatory
response process; managing financial, portfolio and shareholder
consolidation and reporting; managing international Intellectual Property
portfolio compliance, and protection of multinational brands; and managing
establishment, administration, corporate governance, location, branch and
other corporate legal matters pertaining to overseas companies,
specifically companies in Bermuda and Ireland, and US licensed private
trust companies.
